2. Description of Service

OverChargd is a price comparison tool that helps restaurant operators compare product pricing across food vendors (Sysco, US Foods) using Restaurant Depot pricing as a baseline reference. The Service allows you to:

• Upload your vendor order guides (CSV files)
• Compare prices across vendors
• Track price changes over time
• Identify potential savings opportunities

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your password
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4. Subscription and Billing

The Service is provided on a subscription basis. By subscribing, you agree to:

• Pay the subscription fee at the agreed-upon rate
• Provide valid payment information
• Accept automatic renewal unless cancelled before the renewal date

Free Trial: New users may receive a 7-day free trial. After the trial period, your subscription will automatically convert to a paid subscription unless cancelled.

Cancellation: You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds are provided for partial months.

5. Your Data

You retain ownership of all data you upload to the Service, including CSV files and order guides. By uploading data, you grant us a limited license to process and store this data solely to provide the Service to you.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Share your account credentials with others
• Attempt to reverse engineer or extract source code from the Service
• Upload malicious files or content

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. We make no warranties about:

• The accuracy of pricing data or comparisons
• The availability or uptime of the Service
• The results you may achieve from using the Service

Price data shown is based on user-uploaded order guides and publicly available information. Actual prices may vary. Always verify pricing directly with vendors before making purchasing decisions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OverChargd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from your use of the Service.

9. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of significant changes by email or by posting a notice on the Service. Your continued use of the Service after changes constitutes acceptance of the new terms.
